Banco BPM S.p.A. ("Banco BPM" or the "Offeror") has announced today a cash tender offer (the "Offer") for all or part of its perpetual bond "?300,000,000 8.750% Additional Tier 1 Notes" (ISIN n. XS1984319316, the "Existing Securities") with a total nominal amount of ?300,000,000 and the launch of a new issuance of a perpetual bond of the Additional Tier 1 type with a fixed reset rate for a nominal amount of ?300,000,000.
The Offer, which is being made concurrently with the issuance of the New Securities (New Notes Offering), is in line with the proactive capital management by the Offeror. In addition, the Offer provides liquidity to investors who participate and at the same time gives them the opportunity to reinvest the funds in the New Securities.
