First Capital S.p.A. ("First Capital" or the "Company"), a specialized financial holding company in Private Investments in Public Equity and Private Equity, announces the completion of the acquisition of 88.5% of the capital of Invest Italy SIM S.p.A. ("ISIM"), following the agreement with Banca Cambiano 1884 S.p.A. ("Banca Cambiano"). ISIM is currently authorized to engage in non-guaranteed placement and order reception and transmission, and aims to become an independent player in the investment banking market, focusing on high-value-added advisory services for Italian SMEs listed or interested in future listing (equity capital markets services).
With the entry of ISIM into the Group, First Capital begins the strategic project to extend its support to Italian SMEs by complementing its current investment activities with advisory and intermediation services through a specialized operator.
The consideration for the acquisition, amounting to approximately ?1.1 million, was settled through the transfer of 46,310 of First Capital's own shares, valued at ?23.0 each, to Banca Cambiano. As a result, Banca Cambiano becomes a long-term shareholder of First Capital with a 1.60% stake and also retains a 10% stake in ISIM.
Following the transaction, First Capital holds 30,261 of its own shares, representing 1.05% of the capital. The Shareholders' Meeting of ISIM, held after the closing, has appointed the Board of Directors of ISIM, composed of 5 members, who will remain in office until the Shareholders' Meeting called to approve the financial statements as of December 31, 2025. Mario Comana has been appointed as President, along with Luca Di Liddo, Marco Di Lorenzo, Tranquillo Pasetto, and Linda Rossi.
The Board of Statutory Auditors for the period 2023-2025 has also been appointed, with Andrea Cossio as President and Marco Cenedella and Francesco Mazzi as Effective Auditors.
