EEMS emette 25 milioni di azioni a Negma per finanziamenti

EEMS Italia S.p.A. ("EEMS" or the "Company"), an Italian company active in the energy market, listed on the Euronext Milan market organized and managed by Borsa Italiana S.p.A., following the press release issued on December 5, 2023, announces that 25,000,000 new ordinary shares of EEMS have been issued and listed on the Euronext Milan market ? with ISIN code IT0005569352 ? having the same characteristics and rights as the shares already in circulation as of today and with regular dividend entitlement. These new shares have been issued in favor of Negma Group Investment LTD ("Negma"), resulting from the conversion of 5 Bonds issued on October 24, 2023, in the context of the fifth tranche of the convertible bond loan into EEMS listed shares reserved to Negma, approved by the Extraordinary Assembly on October 24, 2022 (the "Negma Conversion"). It should be noted that the number of shares subject to the conversion corresponds to the result of dividing the nominal value of each Bond (i.e. Euro 10,000.00) by the conversion price determined in accordance with the Investment Agreement and the Negma Conversion Regulation, which is equal to 93% of the lowest daily volume weighted average price ("Daily VWAP") of EEMS shares traded during the twelve open market days preceding the date of the conversion request of the Bonds ("Pricing Period"), which amounted to Euro 0.002.

As a result of the above, the Company's share capital will be equal to Euro 2,765,878 divided into 736,613,665 listed ordinary shares. In accordance with the applicable regulations, the attestation of the partial execution of the increase in share capital for the partial conversion of the Negma Conversion, pursuant to Article 2444 of the Italian Civil Code, together with the updated articles of association, will be filed for registration with the competent company register; subsequently, the updated composition of EEMS' share capital will be published in accordance with Article 85-bis of the Regulation approved by CONSOB Resolution No. 11971/99.
